WHOLESALE TERMS AND CONDITIONS
SUSTAINABLE LIVING FABRICS - TRADING TERMS AND CONDITIONS OF SALE
(Effective from 1/01/2026)
(PLEASE READ CAREFULLY. PLACEMENT OF AN ORDER WITH SUSTAINABLE LIVING FABRICS PTY LTD ACKNOWLEDGES AND CONFIRMS AGREEMENT TO THESE TRADING TERMS AND CONDIDTIONS OF SALE)
1.0 CREDIT
1.1 All credit is subject to approval of a properly completed Credit Application Form supplied by SLF.
1.2 Standard credit terms are for payment to be received by SLF by due date unless otherwise agreed. Due date is the date on which the payment is due to be received by SLF according to the stated invoice terms. Buyers who cannot meet the due date must contact SLF before their payment falls due. Failure to do so may result in credit being withdrawn.
1.3 Interest at 2.5% per month may be charged on overdue accounts and will be due immediately.
1.4 No shipment will be made for any Buyer whose account is in arrears for any reason whatsoever without prior agreement in writing from SLF. SLF reserves the right to extend this to other companies related to the Buyer through common ownership or directors or similar.
1.5 Where an account is inactive for more than six months or where the Buyer orders fabric to the value of less than $3000 over any six months, SLF reserves the right to review credit arrangements without notice.
1.6 SLF reserves the right to remove discounts, including any pricing discounts, without notice if the Buyer fails to meet the conditions of the discount or if payment is not received by the due date for any reason whatsoever.
1.7 Title of goods and ownership of property remain with SLF until full payment is received and SLF reserves the right to remove goods for which payment is outstanding.
2.0 PRICING
2.1 All prices are subject to change without notice. Prices are per lineal metre and are exclusive of GST. Minimum cut is 0.5 metres.
2.2 Freight charges apply to orders and orders are packed to SLF specifications and sent with SLF’s contracted carriers.
2.3 Special requirements for packing may incur surcharges. Freight other than by our contracted carriers is at the Buyer’s expense. Where shipment is to a third party, SLF accepts no responsibility for the fabric other than in terms of clauses 18 to 21 below. SLF accepts no responsibility for goods packed other than to our specifications or shipped other than by our contracted carriers and no claim will be considered other than for faulty manufacture. Where the goods cannot be received on delivery to the specified address for any reason whatsoever, any additional freight charges incurred by SLF will be passed on to the Buyer.
2.4 Where an order is to be shipped to more than one address, each address will be treated as a separate order.
2.5 For all exports payment must be received before shipment. Export pricing is ex works. Freight is charged separately.
3.0 COLOUR VARIATIONS
3.1 Variations in colour may occur between batches and from samples to bulk. Such variations will be within commercially accepted tolerances. Buyer must check batches carefully. Where an order is to match fabric previously supplied, the batch should be specified. SLF accepts no responsibility for batches being mixed.
4.0 SPECIALS AND FINISHES
4.1 For special colours and designs, minimums apply. Buyer agrees to accept over/under production of 5%.
4.2 Where fabric orders are over 100mtrs and are not held in stock a 50% deposit is required before fabric production commences and leadtime will be confirmed.
4.3 Fabric manufactured specifically to customer quantities, and once paid for or delivered, is strictly non-returnable and non-refundable under any circumstances.
4.4 Commercial and Ultimate Healthcare treatments are available on all fabrics at an additional cost and leadtime.
5.0 CLAIMS
5.1 Claims will only be considered if SLF is notified within 7 days of delivery. Liability is limited to faulty manufacturing only.
5.2 No claims will be considered where the fabric has been cut. It is the Buyer’s responsibility to inspect the fabric carefully before cutting.
5.3 No fabric length under 10 metres will be accepted for return except where the fabric is incorrectly supplied or deemed faulty. Returns will be accepted on uncut and unmarked lengths only and for fabric returned properly wrapped and in good condition. Returns must be within 14 days of delivery.
5.4 Where the fabric has been incorrectly supplied a full credit will be given and SLF will arrange for the fabric to be collected.
5.5 All other returns are at the Buyer’s expense and a Returns Fee of 50% of invoiced value plus GST will be charged.
5.6 Fabric specifically manufactured or procured to meet Buyer requirements or discontinued fabrics will not be accepted for return under any circumstances.
5.7 Upon the happening of any events outside the control of SLF, the time for shipment and/or delivery and or tender of documents shall be extended for such reasonable period after such cause or causes shall have ceased to operate that shall enable SLF to effect shipment and/or delivery and/or tender and Buyers shall be bound to accept and pay for the fabric notwithstanding such delay or SLF may at its option give the Buyer notice in writing, rescinding or cancelling the contract or any portion thereof and SLF shall not in such event be liable to any penalty or any damages by reason of such rescission or cancellation.
6.0 ACCEPTANCE OF TRADING TERMS AND CONDITIONS
6.1 These Trading Terms and Conditions of Sale replace all previous terms and conditions.
6.2 Placement of an order with SLF acknowledges and confirms agreement to these Terms and Conditions of Sale.
